Body Sculpt 360 at The District

This Client Service Agreement (referred to as "Agreement") is made and entered into effective August 4, 2025 (the "Effective Date") by and between Body Sculpt 360 at The District ("Provider") located at 101 W. Mission Blvd, Pomona, CA 91766.

This Agreement applies to all individuals ("Client") receiving or purchasing services from the Provider on or after the Effective Date. This Agreement replaces any previous verbal or implied understandings, communications, or policies regarding services provided by Body Sculpt 360, including those under the previous entity known as Body Sculpt 360 Aesthetics and Holistic Health. Both Provider and Client agree to the terms and conditions outlined herein upon Client's express affirmative consent.

1. Services provided

Provider offers aesthetic and body sculpting services, including Lifetime Facelifts, Makeovers, and Multi-Session Packages (collectively, "Services"). The specific Services purchased by the Client will be detailed at the time of purchase or, for existing clients, as referenced from their original package purchase.

2. Commitment to honoring original investment

The Provider is committed to honoring the services originally invested in, subject to the terms outlined in this Agreement.

3. Operational costs & quality standards

Increased operational costs, including medical-grade products, equipment maintenance, utilities, staffing, and the overall impact of inflation, have made it increasingly difficult to sustain long-term packages without a contribution toward the cost of service delivery. The current economic climate has caused a dramatic increase in the cost of doing business, making the original pricing model financially unsustainable for maintaining the premium quality and experience clients deserve.

4. Service Excellence Contribution (for existing prepaid packages purchased before the effective date)

4.1. Optional Contribution: For clients with Lifetime Facelift, Makeover, and Multi-Session Packages purchased prior to the Effective Date of this Agreement, a Service Excellence Contribution is introduced to help sustain the high-quality results, uphold strict health and safety standards, and maintain the premium experience clients expect. This contribution is designed to cover the increased costs associated with:

* Access to advanced technology and medical-grade protocols.

* Professional skincare products and specialized equipment.

* Sanitation supplies and compliance with safety regulations.

* Continued access to licensed, certified, and trained providers.

4.2. Contribution Amount: Clients who choose to include this contribution will pay a fee of $50 per visit for appointments related to their existing prepaid packages, effective August 7, 2025. This fee does not alter the number of services remaining in your package; it is a required contribution to access the high-standard operational environment and materials.

4.3. Client Choice: Acceptance of this Service Excellence Contribution is optional for existing prepaid package holders. Clients who do not wish to opt into this contribution will need to utilize their remaining prepaid treatments within the redemption period specified in Section 5.

5. Redemption period for existing prepaid packages purchased before the effective date.

To ensure the efficient and fair delivery of services for all valued clients, a final redemption period is now being established for any remaining treatments within prepaid packages purchased before the Effective Date of this Agreement.

All unused sessions remaining in your prepaid package(s) must be scheduled and completed within six (6) months from the Effective Date of this Agreement. The final date for redemption of these treatments will be February 4, 2026.

Clients are strongly encouraged to schedule and complete their remaining treatments before this deadline. After February 4, 2026, any unused treatments remaining in packages purchased prior to the Effective Date of this Agreement will expire without further value or refund.

Clients wishing to continue services beyond the expiry of their current prepaid package, or who choose not to utilize their remaining sessions within this six-month period, are invited to transition to our current pricing structure and package options, as outlined in other sections of this agreement.

6. Package terms & expiration (for new package purchases) For all packages purchased on or after the Effective Date of this Agreement, the following terms apply:

6.1. Package Validity: Each package will have a clearly defined validity period, typically [e.g., 6 months] from the date of purchase unless otherwise noted. The specific expiration date for each package will be provided at the time of purchase.

6.2. Expiration: Services not used within the stated validity period will expire without further value or refund. It is the Client's responsibility to schedule and complete treatments within the specified timeframe.

7. Payment terms

7.1. Pricing and Estimates: Services are priced in United States Dollars (USD). Individual services and packages are offered, with package pricing based on the number of sessions and potentially varying across different tiers or levels of service. For clients with custom needs or requirements, a detailed estimate or quote will be provided during the consultation and will require Client's signature to proceed.

7.2. Refund Policy: All sales are final. Body Sculpt 360 at The District does not provide refunds under any circumstances for purchased services, packages, or deposits. By agreeing to this Agreement and purchasing services or packages, Client acknowledges and accepts this "all sales are final" refund policy. 7.3. Taxes: Applicable sales tax will be added to the purchase of products and physical items, but not to the cost of services.

7.4. Accepted Payment Methods: The following payment methods are accepted:

* Cash

* Credit/Debit Cards (Visa, Mastercard, American Express, Discover)

* Digital Payments (Apple Cash, Cash App, Zelle)

* Checks and Bank Transfers/ACH are NOT accepted.

7.5. Financing Options:

* Third-Party Financing: Third-party financing options from providers such as CareCredit, Cherry, PatientFi, or Sezzle may be offered. Availability of these options is subject to change and specific terms and conditions provided by the respective third-party provider, which the Client must agree to directly.

* In-House Financing: In-house financing is offered for qualifying clients. Terms require a down payment and adherence to a defined payment schedule (monthly installments, number depending on the total amount financed). No credit checks are performed; however, payment activity (positive or negative) on in-house financing agreements may be reported to the three major credit bureaus.

7.6. Buy Now, Pay Later (BNPL) Options: "Buy Now, Pay Later" options through providers such as Klarna, Affirm, or Afterpay may be offered. Availability is subject to change and the specific terms and conditions provided by the respective BNPL provider, which the Client must agree to directly.

7.7. Deposits for Appointments/Consultations:

* A non-refundable deposit of $150 is required to secure the date and time of any appointment or consultation.

* This deposit is due at the time of booking/scheduling.

* The deposit will be applied towards the cost of the scheduled service or consultation fee. The client has up to 90 days from the date of payment to apply this deposit to a scheduled service or consultation.

* Forfeiture: This deposit is non-refundable and will be forfeited in cases of late cancellations (as defined in Section 8) or no-shows.

7.8. Payment Due Dates:

* Services & Packages: Full payment for individual services or packages is due before services begin.

* Consultation Fee: A consultation fee of $150 is due at the time of scheduling the consultation appointment, and this fee is covered by the deposit outlined in Section 7.7.

* Financing Plans: Payments for in-house financing or third-party financing plans are due monthly. The number of installments will depend on the total financed amount and the agreed-upon payment schedule.

7.9. Late Payments & Penalties:

* A payment is considered late if not received within five (5) days of its scheduled due date.

* A late fee of $50 will be assessed for each late payment on payment plans or other outstanding balances.

* Consequences of Non-Payment: In the event of missed or consistently late payments:

* Services will be suspended after one missed payment.

* After two missed payments, services will be terminated, and the account will be considered in default.

* Accounts in default may be referred to a third-party collections agency.

* Provider reserves the right to pursue recovery through small claims court or other legal means.

* The unpaid balance may be reported to consumer reporting agencies, where applicable.

8. Appointments and cancellations

8.1. Scheduling and Confirmations: All appointments must be scheduled in advance. Clients are encouraged to confirm their appointments.

8.2. Strict 24-Hour Cancellation/No-Show Policy:

* As a courtesy to our clients and team members at Body Sculpt 360° at The District, clients are required to provide a minimum of twenty-four (24) hours' notice should they need to cancel or reschedule an appointment.

* Failure to provide the required 24 hours' notice, or failure to attend a scheduled appointment (No-Show), will result in a non-negotiable and non-refundable charge of $150.

* Forfeiture of Deposit: If a deposit was paid for the appointment (as per Section 7.7), it will be forfeited to cover this $150 charge.

* Credit/Application: This $150 No Call, No Show Charge will not be applied to future treatments or services, nor will it be issued as a credit. Clients will be responsible for re-booking and potentially paying a new deposit for future appointments.

8.3. Late Arrivals: Clients are expected to arrive on time for their scheduled appointments. Arriving significantly late may result in a shortened appointment time or, at the Provider's discretion, may be considered a No-Show (as defined in Section 8.2) if the delay prevents the full and effective provision of the scheduled service.

8.4. Same-Day Procedure Consultation Inconvenience Fee:

* Clients who book a consultation with the expectation of a same-day procedure, but ultimately do not receive a same-day procedure, will be charged a $300 Inconvenience Fee.

* This fee compensates for the dedicated two-hour appointment slot held and prepared for the client's potential same-day procedure.

* This $300 fee is separate from any consultation fee or deposit paid and is non-refundable.

8.5. Exceptions: Exceptions to this cancellation/no-show policy may be made only in cases of documented emergencies or extenuating circumstances, to be determined solely at the discretion of Body Sculpt 360° at The District management. Clients must provide verifiable documentation upon request to be considered for an exception.

9. Client responsibilities

9.1. Information Accuracy: Client agrees to provide accurate, complete, and up-to-date information regarding their health history, lifestyle, and any other details relevant to the Services being provided. This includes disclosing any changes in health status or medications that may impact treatments.

9.2. Adherence to Instructions: Client agrees to diligently follow all pre-treatment and post-treatment instructions, recommendations, and protocols provided by Provider's staff to ensure the best possible results and minimize risks.

9.3. Timely Communication: Client agrees to promptly communicate any concerns, questions, or changes that may affect their scheduled appointments or the Services being received. This includes notifying the Provider of any adverse reactions or unexpected outcomes following a treatment.

9.4. Appointment Adherence: Client agrees to adhere to the appointment scheduling and cancellation policies as outlined in Section 8 of this Agreement.

9.5. Financial Obligations: Client agrees to fulfill all financial obligations, including timely payment for services, packages, deposits, and any applicable fees (e.g., late fees, cancellation fees) as outlined in Section 7 of this Agreement.

9.6. Cooperation: Client agrees to cooperate fully and respectfully with Provider's staff and adhere to the policies and procedures of Body Sculpt 360 at The District.

10. Provider responsibilities

10.1. Professional Standards: Provider agrees to furnish Services by qualified, licensed, certified, and trained professionals, adhering to the highest standards of safety, care, and industry best practices.

10.2. Facility Standards: Provider agrees to maintain a clean, safe, and professional environment, compliant with all relevant health, safety, and sanitation regulations and guidelines.

10.3. Product and Equipment Quality: Provider agrees to utilize professional-grade, medical-grade products and specialized equipment as appropriate for the Services offered.

10.4. Client Confidentiality: Provider agrees to maintain strict confidentiality of Client's personal information, health history, and treatment details, in accordance with applicable state and federal laws, including HIPAA (Health Insurance Portability and Accountability Act), states California Service Provider Agreement - Agiliti.

10.5. Ethical Conduct: Provider agrees that staff will conduct themselves in an ethical and professional manner, prioritizing the Client's well-being and satisfaction.

10.6. Informed Consent: Provider agrees to ensure that Clients are fully informed about proposed treatments, including benefits, risks, alternatives, and costs, before commencing any service, and to obtain informed consent where required.

11. Dispute resolution

11.1. Initial Resolution Attempt: The parties agree to first attempt to resolve any dispute, claim, or controversy arising from this Agreement through good-faith negotiation within 30 days of written notice. JAMS: Mediation, Arbitration and ADR Services

11.2. Mediation: If negotiation fails, the parties agree to mediate before pursuing arbitration or litigation. A neutral mediator will be jointly selected, and mediation will take place in [Your City, California] under mutually agreed rules. 11.3. Arbitration: If mediation is unsuccessful, disputes will be submitted to final and binding arbitration in [Your City, California] under California law. A single neutral arbitrator will be chosen by agreement or through a specified process (e.g., rules of a local arbitration body). The arbitrator's decision is final and binding, and judgment may be entered in any court with jurisdiction. Costs will be shared equally unless the arbitrator decides otherwise.

11.4. Waiver of Jury Trial: Both parties waive their right to a jury trial for disputes covered by this section by agreeing to arbitration.

12. entire agreement

This Agreement constitutes the entire agreement between the Client and Provider concerning the Services and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Services. No amendment to this Agreement shall be effective unless it is in writing and signed by both Provider and Client.

13. governing law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.

By signing below, I acknowledge that I have received, had the opportunity to review, and understand the Client Service Agreement from Body Sculpt 360 at The District, effective August 4, 2025.

I understand that this Agreement outlines the terms and conditions for receiving services and using prepaid packages from Body Sculpt 360 at The District, and supersedes any previous understandings.

For Clients with Existing Prepaid Packages (Purchased BEFORE August 4, 2025:

I understand the terms regarding the Service Excellence Contribution (Optional) and the 6-Month Redemption Period for my existing package(s), ending on February 4, 2026.
